1. Scope and professional customers
These terms and conditions of sale and use govern AudioPhone System services and accessory sales made on audiophone-system.com. The commercial offer is intended for professionals acting for the purposes of their business: guides, agencies, tour operators, museums, operators of visitor attractions and other professional organisers. Visitors listening to a tour do not, by that fact alone, become purchasers of the service.
An association or another organisation is not automatically classified as a professional: its status depends on the purpose and circumstances of the contract. If mandatory provisions apply to it, they take precedence over any incompatible clause. Simply browsing the website does not constitute acceptance of a paid order.
2. Operator, seller and contacts
Phileas Horizon · RNA : W062021407 · SIRET : 13165438600013
The Phileas Horizon association operates AudioPhone System under licence and is the contracting party for the services and accessories sold on this website: 8 rue Mascoinat, 06300 Nice, France; contact@audiophone-system.com. Available identification details appear in the legal notice. No registration number still awaiting allocation is presented as having been obtained.
Rivieramedias is the technical service provider. Its PayPal account is currently used to collect payments for orders; the name displayed by PayPal may therefore be Rivieramedias. This payment arrangement does not change the identity of the contracting operator stated here. Any special terms in a quotation explicitly identify the contracting party concerned.
3. Acceptance, documents and applicable version
Customers can consult the terms before ordering through the link provided for that purpose. Acceptance of the terms and the amount is obtained before payment. Customers retain the order summary, reference and contractual documents. Special terms expressly accepted in a quotation take precedence over these terms in the event of a conflict, subject to mandatory rules.
Version dated 8 October 2026. It applies to new orders for which it has been brought to the customer's attention and accepted; it does not retrospectively change previous orders. A subsequent change to the website or prices does not change a contract already concluded.
4. Orders and payment confirmation
Before confirming, customers check the solution, dates, group size, quantities, contact details and delivery address. They can correct their information before paying. A request reference or the creation of a payment page does not, on its own, constitute confirmed payment.
Online orders are confirmed after PayPal payment has been verified. Guide access is issued after that confirmation, for the booked dates and capacity. Services provided by quotation require acceptance of the quotation and the agreed payment arrangements. A quotation request without an accepted contract can be withdrawn free of charge.
5. Prices, payment, membership and options
Prices and the total payable are stated in euros in the summary before payment. For accessories, this total itemises the products and delivery charges. The final amount displayed is binding for the order; the applicable VAT treatment appears on the sales documents. These terms do not presume any unconfirmed VAT rate or exemption.
For bookings, group size is rounded up to the next ten according to the published pricing table. Group membership lasts three months, without automatic renewal. The welcome discount and options are those in the accepted summary. Simultaneous translation is paid for online with the displayed supplement on hire and up to two simultaneously translated languages. Programmed services and group sizes exceeding the capacity for immediate payment are handled by quotation.
6. Binding professional orders and cancellations
Every confirmed professional order is binding. No discretionary commercial refund is granted for a change of mind, cancellation initiated by the customer, failure to attend a tour, partial use or equipment ultimately left unused. The agreed price remains payable. A postponement or change requires the operator's written agreement and depends on availability; simply requesting a postponement does not secure one.
Professional contracts concluded online do not, as a general rule, carry a general fourteen-day right of withdrawal. This clause does not exclude a mandatory right applicable in a particular situation, including certain off-premises contracts with small businesses within the meaning of Article L. 221-3 of the French Consumer Code. It does not exclude remedies for non-delivery, defects or sufficiently serious non-performance by the operator.
7. Accessories, specifications and compatibility
Accessories sold directly on this website include microphones, earphones, headphones and earpieces. Relevant specifications, quantities and prices are those in the product descriptions and order summary. Photographs illustrate the products; they do not allow a product whose essential characteristics differ from those ordered to be substituted without the customer's agreement.
Customers check connectors, adapters, operating systems and compatibility with their phones, within the limits of the information actually supplied before purchase. An incompatibility disclosed before purchase and specific to the customer's equipment is not an accessory failure. A description error or compatibility expressly promised does, however, engage the seller's responsibility. No product is presumed compatible with all devices.
8. Accessory delivery and receipt
Countries served, shipping charges and delivery times are those in the basket and accepted summary. Displayed times are delivery times after payment confirmation, unless a different arrangement is expressly accepted. Known unavailability or delay is notified to the customer; a new date is not imposed unilaterally. The operator remains responsible for its delivery commitments, including when it uses a carrier.
Customers provide a complete, accessible address, check the parcel and its contents on receipt, and promptly report missing items or damage, with supporting information where possible. Failing to record immediate reservations does not, by itself, remove legal remedies. Outside territories where these charges are already included in the displayed price, any import duties and local taxes claimed by the destination authorities remain payable by the recipient under the terms disclosed before the commitment.
In the event of non-delivery attributable to the seller, customers may request performance and, where the legal conditions are met, termination of the sale and the corresponding restitution. The binding-order clause does not allow the price of an order that is definitively not fulfilled to be retained without a legal basis.
9. Use, care and precautions
Customers follow the instructions, compatible charging voltages and methods, humidity limits and product conditions of use. They avoid impacts, pulling cables, excessive heat and unauthorised repairs. Individual earphones are not shared without appropriate hygiene measures. Volume must allow awareness of the surroundings; the equipment does not replace group supervision or safety equipment.
Normal wear, damage resulting from use contrary to the instructions or a failure actually caused by a customer's intervention is not a defect attributable to the seller. These exclusions require a real connection with the damage observed; they do not remove warranties relating to a pre-existing defect or a defective product.
10. Accessory defects, support and returns
For a defect, write to contact@audiophone-system.com with the reference, product concerned, symptoms and, where possible, photographs. The seller examines the request and provides useful checks and return arrangements. A diagnosis or return number facilitates handling but cannot remove a legal remedy. Do not return a damaged battery without suitable transport instructions.
For professional purchasers, the seller remains obliged to deliver the agreed product and to provide the warranty against hidden defects under Articles 1641 et seq. of the French Civil Code, subject to their conditions of application. No additional commercial warranty or manufacturer coverage period not expressly stated is promised here. Depending on the defect and applicable rights, repair, replacement, a price reduction or termination may be owed.
Repair or replacement is sought first where the applicable remedy allows it, within a reasonable time suited to the product and the stated need. A refund is not automatically triggered by the first report; however, no waiting period deprives customers of termination or restitution already legally due. Costs necessary to correct a defect attributable to the seller are borne by the seller. Other returns are accepted only under a written agreement specifying their costs.
11. Audio service: requirements and customer obligations
Guides protect their private access and observe the booked dates, group sizes and languages. Each user has a compatible phone or computer, a sufficiently stable Internet connection and the necessary earphones. Guides allow microphone access; visitors do not need to allow theirs. The listening page remains open as instructed by the service.
Before the tour, customers perform a trial at the locations concerned, check batteries, browser permissions and accessories, and plan appropriate backup arrangements. They remain responsible for group supervision and safety. These precautions do not transfer responsibility for a service defect or an undisclosed requirement to the customer.
12. Translation, content and permitted uses
Customers hold the necessary rights and permissions for the voices, texts, music and files broadcast. They inform the people concerned when they decide to record or export a transcript. The application does not automatically record live broadcasts.
Automatic translation may involve delays and errors; it does not replace a certified translation, backup arrangements or a medical or safety tool. The service does not guarantee a commercial outcome, visitor numbers or the success of an event. The stated limitations do not remove the obligation to provide the contractually agreed features.
13. Outages, interruptions and maintenance
The service relies on hosting, networks and technical broadcasting or translation services. Continuous 100% availability is not promised. The operator takes reasonable measures to prevent and correct incidents and limit maintenance during booked access periods. Technical intervention, a temporary outage or degradation does not automatically entitle customers to a discretionary commercial refund.
The operator is not responsible for a difficulty whose demonstrated cause lies exclusively in the customer's connection or equipment, a refused permission or use incompatible with the stated instructions. Failure of a hosting provider, subcontractor or third-party service is not enough to exempt the operator where it falls within performance of its own commitments.
14. Incident reporting, diagnosis and response times
Customers report an incident without delay to contact@audiophone-system.com, with their reference, the times and duration of the problem, location, devices, networks tested and available error messages. The operator examines the customer's information and relevant technical records; proof derived exclusively from its own logs is not required.
For a temporary interruption, a phase of diagnosis and attempted restoration lasting 30 minutes after receipt of the incident report is provided before considering a request for contractual compensation. This is a diagnostic period, not a guarantee of restoration within thirty minutes or of round-the-clock support. This period cannot be relied on where performance is definitively impossible, an accepted essential deadline is missed or the law requires an immediate remedy.
Customers allow reasonable tests and provide available information. Any postponement requires their agreement. Assessment of the cause and severity distinguishes temporary inconvenience, partial unavailability and non-performance rendering the booked service useless.
15. Restitution owed and refund arrangements
There is no right to an automatic discretionary commercial refund of a binding professional order. Where termination, a price reduction or restitution is owed under the contract or law, it is assessed according to the service actually provided and the benefit retained. A service rendered entirely useless by sufficiently serious non-performance may justify the corresponding full restitution; partial performance may justify partial restitution under the legal conditions.
Amounts relating to independent products or services actually delivered and useful are not refunded solely because of an incident affecting another order line. Membership is not automatically refunded if it retains its purpose and effects; this distinction does not allow retention of an amount whose restitution is legally due.
After agreement on the amount, or when an obligation to refund has been established, the refund is made within a maximum of 14 calendar days, without delaying a shorter statutory deadline. The original payment method is used where possible, unless another arrangement is agreed without cost to the customer. The time taken for the payment to appear in the bank account then depends on the payment institution. A credit note does not replace a refund owed without the customer's agreement.
16. Limitation of liability between professionals
Within the limits permitted by applicable law, the total contractual compensation owed to a professional customer for the same order, including refunds and damages together, is capped at the total amount actually paid for that order. There is no accumulation of compensation for the same loss. Contractual liability covers direct, certain, foreseeable and proven damage resulting from a breach attributable to the operator.
Within those same limits, indirect losses, including loss of opportunity or business where they actually constitute indirect damage, are not compensated. A loss is not automatically indirect merely because it concerns the customer's business. The operator does not guarantee commercial commitments made by customers to their own participants.
The cap and exclusions do not apply to wilful misconduct, gross negligence, personal injury, mandatory liability for defective products, rights or restitution that cannot be waived, or where they would deprive an essential obligation of its substance or create a prohibited significant imbalance. This clause therefore does not constitute a general exemption for every outage or instance of non-performance.
17. Force majeure
Force majeure is assessed under Article 1218 of the French Civil Code: an event beyond the control of the party concerned, unforeseeable when the contract is concluded and whose effects cannot be avoided by appropriate measures, preventing performance. An Internet outage, maintenance or supplier failure is not automatically force majeure.
The party concerned informs the other and seeks to limit the consequences. A temporary impediment suspends performance unless the delay justifies termination; a permanent impediment entails the legal consequences of termination. Any restitution owed remains applicable; absence of fault does not allow all amounts received to be systematically retained.
18. French law and jurisdiction
These terms and contracts concluded on the website are governed by French law. By accepting the terms before ordering, customers expressly accept this choice of law, including when established outside France. Simply browsing the website does not constitute a waiver of mandatory rights.
This choice does not deprive either party of mandatory rules applicable to the contract. If consumer or non-professional protection rules legally apply, any mandatory protections afforded by the law of their country remain preserved, notably under the conditions of Article 6 of the Rome I Regulation. Choosing French law does not automatically confer exclusive jurisdiction on a French court.
In the absence of an amicable agreement, the dispute falls within the jurisdiction of the competent courts determined by applicable French and international rules. No clause on this page excludes mandatory rules on jurisdiction.
19. Complaints, evidence and mandatory provisions
Complaints are sent to contact@audiophone-system.com, with the reference and relevant facts. The parties seek an amicable solution without depriving customers of urgent action or a legal remedy. Summaries, confirmations and technical records are evidence, without being declared irrefutable.
This offer is intended for professional contracts; no consumer mediator is stated to have been appointed. If a contract actually falls under consumer law, the applicable protection and mediation obligations are not removed by this page. A clause set aside or deemed unwritten does not invalidate other provisions that can remain in effect.
20. Personal data and intellectual property
Data necessary for orders, deliveries, payments, support and complaints are processed in accordance with the privacy policy. Creations and content are governed by the page Intellectual property. Purchasing an accessory or making a booking does not transfer rights to the concept, software or third-party content.
